B&G Foods calls off Green Giant sale in Canada after antitrust concerns

B&G Foods has decided to terminate the sale of its Green Giant business in Canada, following concerns raised by regulators regarding potential antitrust law violations.

The announcement to sell its Green Giant and Le Sueur brands in Canada to Nortera Foods was made by the food maker last October. The agreement included a provision for either party to terminate the deal if regulatory approval in Canada was not obtained by September 24 of this year.

In August, Canada’s Competition Bureau requested the Competition Tribunal to block B&G’s sale, citing potential negative impacts such as higher prices, reduced choices, and decreased competition. The Bureau pointed out that Nortera is already the leading processor of certain canned and frozen vegetables in Canada, handling brands like Del Monte and Arctic Gardens.

B&G has stated that they will explore other options for Green Giant Canada, including a potential sale or partnership, while Nortera Foods will continue to be the primary co-manufacturer for Green Giant Canada.

“Although we are disappointed that the transaction did not close before the deadline, we are confident in Green Giant Canada’s future,” said Robert Mills, CEO of B&G. He emphasized the brand’s growth and margin improvement potential.

Formerly known for its frequent acquisitions, B&G has shifted its focus to divesting noncore assets, streamlining its operations, and reducing debt.

B&G had previously sold the Green Giant U.S. shelf-stable vegetable product line to Seneca Foods in November 2023 and the Le Sueur U.S. shelf-stable vegetable product line to McCall Farms in August 2025.
